From the analysis of the provisions of Business Law in 2014 on the basis of comparison with the relevant legal documents combined with the fact finding, the article has pointed out the limitations, contradictions, inadequacies in the provisions of the law on the subject contributed capital to establish business. At the same time, the article proposes some ways to improve the law on this issue. The article will make a significant contribution to the consistency of the existing legal documents in general and contribute to the completion of Business Law in 2014 in particular. TÓM TẮT Bài viết nghiên cứu các quy định của Luật Doanh nghiệp năm 2014 về chủ thể góp vốn ở giai đoạn thành lập doanh nghiệp đối với các loại hình doanh nghiệp: Công ty trách nhiệm hữu hạn, công ty hợp danh, công ty cổ phần. Bài viết không tìm hiểu các quy định về chủ thể góp vốn đối các doanh nghiệp có yếu tố nước ngoài và các doanh nghiệp nhà nước. Bài viết sẽ có những đóng góp đáng kể trong việc tạo sự thống nhất giữa các văn bản pháp luật hiện hành nói chung và góp phần hoàn thiện Luật Doanh nghiệp năm 2014 nói riêng. |
